Terms are governed by Indian law with jurisdiction in Surat, Gujarat. Fees are never retroactive.
1. Introduction
Welcome to DigiPoshak ("DigiPoshak", "we", "us", "our"). DigiPoshak is a cloud-based business management and rental management platform for rental businesses of all kinds — including clothing, jewellery, furniture, vehicle and equipment rentals. Our platform provides tools that may include:
Customer management
Rental booking and order management
Item and inventory management
Rental availability and booking-period management
Payment and transaction record management
Staff and employee management
Pickup and return management
Daily operational reports
Business analytics and dashboards
Invoice and document generation
Customer notifications and transactional messaging
WhatsApp and other communication integrations
Other business-management features introduced from time to time
These Terms and Conditions ("Terms") govern your access to and use of the DigiPoshak website, application, software, APIs and related services (collectively, the "Service"). By creating an account, accessing the Service, or using any part of the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
2. Definitions
For these Terms:
"DigiPoshak" means the platform and services operated under the DigiPoshak brand.
"Customer", "you" or "your" means the shop owner, business owner, proprietor, company, partnership, organization or other person/entity that creates an account or uses the Service.
"Authorized User" means an employee, staff member, representative or other person authorized by the Customer to access the Customer's DigiPoshak account.
"End Customer" means a customer of the rental business using DigiPoshak, for example a person who books or rents clothing or other products from a DigiPoshak Customer.
"Customer Data" means information, records, documents, images, customer details, booking information, payment records, inventory information, employee information and other information submitted to DigiPoshak by or on behalf of the Customer.
"Third-Party Services" means services operated by third parties and integrated with DigiPoshak, including WhatsApp, Meta, payment providers, cloud-storage providers, messaging providers, analytics services and other external services.
3. Eligibility and Business Use
DigiPoshak is primarily intended for business and commercial use. By using DigiPoshak, you represent that:
You are legally capable of entering into a binding agreement.
You have authority to operate or represent the business associated with the account.
All information provided during registration is accurate and complete.
You will keep your account information updated.
You will use DigiPoshak only for lawful business purposes.
You will comply with all applicable laws, regulations and contractual obligations.
If you create an account on behalf of a business, you represent that you have authority to bind that business to these Terms.
4. Account Registration
Certain features require registration and an active account. You are responsible for:
Maintaining accurate account information.
Keeping login credentials confidential.
Protecting passwords, authentication credentials and access tokens.
Controlling access to your account.
Managing Authorized Users.
Immediately informing DigiPoshak if you suspect unauthorized access.
You are responsible for all activity performed through your account unless the activity resulted directly from DigiPoshak's unauthorized access. DigiPoshak may require additional verification or information where reasonably necessary to protect the platform, comply with law, prevent fraud or provide certain services.
5. Staff and Employee Accounts
DigiPoshak may allow the Customer to create accounts for employees or other Authorized Users. The Customer is responsible for:
Selecting appropriate permissions.
Managing employee access.
Removing access when an employee leaves the business.
Reviewing employee activity.
Ensuring employees use the Service appropriately.
The Customer remains responsible for actions performed by its Authorized Users through the Customer's account. DigiPoshak is not responsible for losses resulting from the Customer's failure to properly manage employee access or permissions.
6. DigiPoshak Is a Business Management Platform
DigiPoshak provides software tools to help businesses manage their rental operations. DigiPoshak does not become a party to transactions between the Customer and its End Customers. For example, if a Customer:
Books clothing for an End Customer;
Accepts an advance payment;
Collects a security deposit;
Determines rental charges;
Determines cancellation charges;
Charges a late-return fee;
Records damage or penalty charges;
Agrees to pickup or return dates; or
Communicates rental terms to an End Customer,
those commercial decisions and transactions are between the Customer and the End Customer. DigiPoshak only provides software functionality for recording, managing or communicating such information.
7. Responsibility for Business Data and Transactions
The Customer is solely responsible for the accuracy and legality of information entered into DigiPoshak. This includes, without limitation:
Customer names
Mobile numbers
Addresses
Booking dates
Pickup dates
Return dates
Rental amounts
Discounts
Deposits
Payments
Refunds
Penalties
Item information
Inventory availability
Employee information
Invoice information
Tax information
Customer communications
DigiPoshak does not independently verify the accuracy of such information. If incorrect information is entered into the Service, DigiPoshak is not responsible for resulting disputes, losses or claims between the Customer and its End Customers.
8. Rental Availability and Booking Information
DigiPoshak may provide functionality to help Customers determine whether an item is available for a particular rental period. Availability calculations are based on information recorded in the platform. The Customer remains responsible for:
Correctly entering bookings.
Correctly entering pickup and return dates.
Correctly recording cancellations.
Correctly recording item status.
Physically verifying inventory where necessary.
Preventing operational errors.
DigiPoshak does not guarantee that an item will physically be available merely because the software indicates availability. The Customer should maintain appropriate operational procedures and physical inventory controls.
9. Payments and Financial Records
DigiPoshak may provide functionality for recording payments, advances, deposits, balances, refunds or other financial information. Unless expressly stated otherwise for a particular service, DigiPoshak is not a bank, payment processor, financial institution or escrow service.
A payment record displayed in DigiPoshak may represent information entered by the Customer or received through an integrated third-party service. The Customer remains responsible for:
Collecting payments.
Confirming receipt of payments.
Issuing refunds.
Reconciling financial records.
Maintaining legally required accounting records.
Applying applicable taxes.
Complying with applicable financial and tax laws.
DigiPoshak does not guarantee that a payment recorded in the software has actually been received unless the payment is independently confirmed through an applicable integrated payment service.
10. Invoices, Reports and Documents
DigiPoshak may provide tools for generating invoices, receipts, reports, statements and other business documents. Such documents are generated based on information provided or maintained by the Customer. The Customer is responsible for reviewing documents before using them for legal, tax, accounting or commercial purposes.
DigiPoshak does not guarantee that generated documents satisfy every legal, tax, accounting or regulatory requirement applicable to a particular business.
11. WhatsApp and Other Messaging Services
DigiPoshak may provide integration with WhatsApp, Meta services and other messaging platforms. Messaging functionality may be subject to:
Third-party terms and conditions.
Messaging policies.
Template approval requirements.
Account verification requirements.
Rate limits.
Quality restrictions.
Delivery restrictions.
Platform availability.
Changes implemented by the third-party provider.
The Customer is responsible for ensuring that messages sent through DigiPoshak are lawful and appropriate. The Customer must have an appropriate legal basis and/or required consent for processing and communicating with its End Customers, where required by applicable law. The Customer must not use DigiPoshak to send:
Spam.
Fraudulent messages.
Misleading communications.
Harassing communications.
Illegal content.
Unauthorized marketing communications.
Content that violates WhatsApp, Meta or another messaging provider's policies.
DigiPoshak does not guarantee delivery of any message. A message may fail, be delayed, rejected, blocked or otherwise not reach the intended recipient because of factors outside DigiPoshak's control, including third-party platform restrictions, recipient settings, network problems, account restrictions or policy enforcement. DigiPoshak is not responsible for the actions or decisions of WhatsApp, Meta or other third-party messaging providers.
12. Third-Party Services
DigiPoshak may integrate with or depend upon third-party services. Examples may include:
WhatsApp / Meta
Payment providers
Cloud infrastructure providers
Cloud storage providers
Email providers
SMS providers
Analytics providers
Authentication providers
Other APIs and software services
Third-party services are outside DigiPoshak's control. A change, suspension, outage, restriction, termination or modification by a third-party provider may affect DigiPoshak functionality. Where a third-party service is required for a feature to operate, DigiPoshak cannot guarantee uninterrupted availability of that feature.
13. Customer Data
The Customer retains ownership of the Customer Data submitted to DigiPoshak, subject to the rights necessary for DigiPoshak to provide the Service. The Customer grants DigiPoshak a limited, non-exclusive right to host, store, process, transmit, reproduce and otherwise use Customer Data solely as reasonably necessary to:
Provide the Service.
Maintain and operate the platform.
Provide customer support.
Perform backups.
Maintain security.
Prevent fraud and abuse.
Troubleshoot technical issues.
Comply with applicable law.
Improve the reliability and functionality of the Service.
DigiPoshak will not sell Customer Data as a product to third parties.
14. Personal Data and Privacy
The Customer may enter personal information belonging to its End Customers and employees into DigiPoshak. The Customer is responsible for ensuring that it has the appropriate authority, notice, consent or other lawful basis required to collect and provide such information to DigiPoshak. The Customer must not upload personal information that it is not legally entitled to collect, use or disclose.
DigiPoshak will process personal information in accordance with its Privacy Policy and applicable law. The DigiPoshak Privacy Policy forms part of the overall framework governing use of the Service. The Customer should review the Privacy Policy before using the Service.
15. Customer's Responsibility for Privacy Compliance
Because DigiPoshak is a business-management platform, the Customer may determine:
Which End Customer information to collect.
Why the information is collected.
How long it is retained.
Who within the business can access it.
Which communications are sent to End Customers.
The Customer is responsible for complying with applicable privacy and data-protection requirements relating to its own business activities. DigiPoshak does not provide legal advice regarding the Customer's privacy obligations.
16. Security
DigiPoshak will use commercially reasonable technical and organizational measures designed to protect the Service and Customer Data. However, no internet-based service can be guaranteed to be completely secure. The Customer acknowledges that security risks may arise from:
Stolen passwords.
Compromised employee accounts.
Malware.
Phishing.
Unauthorized devices.
Third-party integrations.
Internet infrastructure.
Security vulnerabilities.
Other events outside DigiPoshak's reasonable control.
Customers should use strong passwords, appropriate employee permissions and other reasonable security practices.
17. Service Availability
DigiPoshak aims to provide reliable and continuous access to the Service. However, uninterrupted availability is not guaranteed. The Service may occasionally be unavailable because of:
Scheduled maintenance.
Emergency maintenance.
Software updates.
Infrastructure failures.
Network failures.
Cybersecurity incidents.
Third-party service outages.
Force majeure events.
Other circumstances outside DigiPoshak's reasonable control.
DigiPoshak may temporarily suspend functionality where necessary to protect the platform, users, infrastructure or data.
18. Changes to the Service
DigiPoshak may modify, improve, add, remove or discontinue features from time to time. Changes may be necessary because of:
Technical improvements.
Security requirements.
Legal or regulatory requirements.
Third-party API changes.
Business decisions.
Performance requirements.
DigiPoshak does not guarantee that every feature will remain available indefinitely. Where reasonably practicable, DigiPoshak may provide notice of material changes.
19. Prohibited Use
You must not use DigiPoshak to:
Violate any applicable law.
Commit fraud or facilitate fraudulent activity.
Impersonate another person or business.
Upload malicious software or code.
Attempt to gain unauthorized access to DigiPoshak.
Circumvent security controls.
Interfere with platform infrastructure.
Reverse engineer the Service except where expressly permitted by applicable law.
Scrape or systematically extract platform data without authorization.
Send spam or unlawful communications.
Infringe intellectual-property rights.
Store or transmit unlawful content.
Abuse messaging integrations.
Use the platform to facilitate illegal activities.
Resell or sublicense the Service without written authorization from DigiPoshak.
DigiPoshak may suspend or terminate accounts that violate these requirements.
20. Intellectual Property
DigiPoshak and its licensors retain all rights, title and interest in:
The DigiPoshak software.
Website.
Application.
APIs.
Source code.
Database structure.
User interface.
Design.
Logos.
Trademarks.
Documentation.
Platform architecture.
Proprietary technology.
Except for the limited right to use the Service under these Terms, no intellectual-property rights are transferred to the Customer. The Customer must not copy, reproduce, distribute, sell, lease, sublicense, modify or commercially exploit DigiPoshak's proprietary software or technology without written permission.
21. Customer Content
The Customer retains ownership of its own business content and Customer Data. The Customer represents that it has the necessary rights to upload, store, process and transmit such content through DigiPoshak. The Customer must not upload content that infringes another person's intellectual-property, privacy or other legal rights.
22. Subscription and Fees
Certain DigiPoshak features may require payment of subscription or other fees. Where applicable:
Fees will be communicated before purchase or activation.
Taxes may be charged in addition to stated prices where applicable.
Subscription fees may be billed according to the selected billing period.
The Customer is responsible for providing accurate billing information.
DigiPoshak may change pricing for future billing periods with reasonable notice.
Unless otherwise stated, subscription fees are non-refundable after the applicable billing period has commenced, except where required by law or expressly agreed by DigiPoshak.
Failure to make required payment may result in suspension or termination of access.
23. Free Trials and Promotional Plans
DigiPoshak may provide free trials, promotional credits or limited plans. Such offers may:
Have eligibility restrictions.
Expire after a specified period.
Have feature or usage limitations.
Be modified or discontinued.
DigiPoshak may prevent abuse of promotional programs.
24. Suspension and Termination
DigiPoshak may suspend or terminate access where:
The Customer violates these Terms.
The Customer fails to pay applicable fees.
The account presents a security risk.
The account is used for unlawful activity.
The Customer abuses third-party services.
Suspension is necessary to comply with law.
Continued access could harm DigiPoshak or other users.
The Customer may stop using the Service at any time. Termination does not automatically remove obligations that by their nature should continue after termination.
25. Data After Termination
After account termination, DigiPoshak may retain Customer Data for a reasonable period where necessary for:
Legal compliance.
Accounting.
Security.
Fraud prevention.
Backup systems.
Dispute resolution.
Subject to applicable law and DigiPoshak's retention policies, Customer Data may be deleted after termination. The Customer is responsible for exporting any data it requires before terminating its account. DigiPoshak is not responsible for loss of data resulting from the Customer's failure to export required information before account termination.
26. Backups and Data Loss
DigiPoshak may maintain backups of platform data. Backups are intended to support service reliability and disaster recovery. However, DigiPoshak does not guarantee that every piece of data can always be recovered following every failure or incident. Customers should maintain appropriate records and exports of information that is critical to their business.
27. No Guarantee of Business Results
DigiPoshak provides software tools and does not guarantee:
Increased revenue.
Increased bookings.
Increased customer retention.
Reduced operational costs.
Elimination of booking errors.
Elimination of inventory discrepancies.
Successful marketing campaigns.
Successful WhatsApp delivery.
Business profitability.
The Customer remains responsible for how it uses the Service.
28. Disclaimer of Warranties
To the maximum extent permitted by applicable law, DigiPoshak provides the Service on an "as available" and "as is" basis. DigiPoshak does not guarantee that:
The Service will always be available.
The Service will be error-free.
Every feature will work without interruption.
Data will never be lost.
Third-party integrations will always work.
Messages will always be delivered.
Information generated by the platform will always be accurate.
The Service will meet every specific business requirement.
29. Limitation of Liability
To the maximum extent permitted by applicable law, DigiPoshak will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of:
Profits.
Revenue.
Business opportunities.
Goodwill.
Customers.
Data.
Expected savings.
This includes losses arising from booking errors, missed communications, delayed messages, failed messages, inaccurate data entered by the Customer, employee actions, third-party services or business decisions made using information displayed by the Service.
To the maximum extent permitted by applicable law, DigiPoshak's aggregate liability arising out of or relating to the Service will be limited to the amount of fees actually paid by the Customer to DigiPoshak for the Service during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
30. Indemnification
The Customer agrees to indemnify and hold harmless DigiPoshak, its owners, employees, contractors and service providers from claims, losses, damages, liabilities and expenses arising from:
The Customer's violation of these Terms.
The Customer's unlawful use of the Service.
Customer Data or content supplied by the Customer.
Claims by End Customers relating to the Customer's rental business.
Unauthorized or unlawful communications sent by the Customer.
Violation of privacy or data-protection obligations by the Customer.
Intellectual-property infringement caused by Customer content.
Fraudulent or unauthorized activity conducted through the Customer's account.
Disputes relating to rental agreements, payments, deposits, refunds, penalties or inventory.
31. Disputes Between Customer and End Customer
DigiPoshak is not responsible for disputes between a Customer and its End Customers. Such disputes may include:
Booking disputes.
Rental-price disputes.
Deposit disputes.
Refund disputes.
Damage disputes.
Late-return disputes.
Cancellation disputes.
Item-condition disputes.
Customer-service disputes.
The Customer is solely responsible for resolving such disputes.
32. Force Majeure
DigiPoshak will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
Natural disasters.
Fire.
Flood.
War.
Terrorism.
Government action.
Internet outages.
Power failures.
Cyberattacks.
Telecommunications failures.
Cloud infrastructure failures.
Third-party platform outages.
Other events beyond reasonable control.
33. Changes to These Terms
DigiPoshak may update these Terms from time to time. The updated Terms will be published on the DigiPoshak website. Where required by applicable law, DigiPoshak may provide additional notice of material changes. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.
34. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to applicable law, disputes arising from these Terms or the Service shall be subject to the jurisdiction of the competent courts located in Surat, Gujarat, India. The parties may attempt to resolve disputes amicably before commencing formal legal proceedings.
35. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to remain in effect. The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.
36. No Waiver
Failure by DigiPoshak to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.
37. Entire Agreement
These Terms, together with the DigiPoshak Privacy Policy and any applicable subscription, order or service-specific terms, constitute the agreement between the Customer and DigiPoshak regarding use of the Service.

DigiPoshak is a software service provider and business-management platform. DigiPoshak does not participate in or guarantee transactions between rental businesses and their customers. Each business using DigiPoshak remains responsible for its own customers, employees, bookings, pricing, payments, refunds, deposits, rental agreements, communications, tax obligations and legal compliance. By using DigiPoshak, you acknowledge and agree to these Terms and Conditions.
